("Northlight," "we," "us," or "our"), including our website, AI recruitment platform, and automated communication systems (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

Northlight provides AI-powered recruitment and screening services that facilitate communication between healthcare agencies and job applicants through automated means, including but not limited to:

• AI-driven candidate screening
• Automated SMS and voice communications
• Digital application processing
• Candidate evaluation and assessment

By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• All information you provide is accurate and complete
• You will maintain the accuracy of such information
• Your use of the Services does not violate any applicable law or regulation

By using our Services and providing your contact information, you expressly consent to:

• Receive automated SMS messages and voice calls from our AI agents
• Have your responses processed and analyzed by our AI systems
• Be contacted by healthcare agencies regarding employment opportunities

Important: While our AI agents are designed to provide a natural conversation experience, you acknowledge that you are interacting with automated systems and that responses are generated by artificial intelligence.

All rights, title, and interest in and to the Services, including our AI technology, algorithms, software, website design, text, graphics, and other intellectual property, are owned by or licensed to Northlight. Nothing in these Terms grants you any rights to use our intellectual property except as expressly stated.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHLIGHT AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Errors or inaccuracies in AI-generated communications or assessments

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. NORTHLIGHT DOES NOT WARRANT THAT:

• The Services will be uninterrupted or error-free
• AI-generated communications will be free from mistakes or inaccuracies
• Any employment opportunities will result from using our Services
• The results of using the Services will meet your requirements

You agree to indemnify, defend, and hold harmless Northlight and its officers, directors, employees, agents, and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party right
• Any misrepresentation made by you

You acknowledge and agree that:

• Your interactions may be processed by AI systems for screening purposes
• AI assessments are algorithmic and may not capture all nuances of human communication
• Final hiring decisions are made by human recruiters, not AI systems
• We do not guarantee the accuracy or completeness of AI-generated assessments

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the federal or state courts located in San Francisco County, California.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between you and Northlight concerning the Services.
